Overview
A Private Limited Company is the structure investors, lenders and larger customers expect: it gives the business its own legal identity, limits each shareholder's liability to their shareholding, and makes it possible to issue shares and ESOPs later. Incorporation runs through the MCA's SPICe+ system, which combines name reservation (Part A) with the incorporation filing itself (Part B), including PAN and TAN allotment.

Frequently asked questions
How many directors and shareholders do I need?
A private limited company needs a minimum of two directors and two shareholders; the same two people can hold both roles. At least one director must be a resident of India.
Is there a minimum capital requirement?
No minimum paid-up capital is prescribed. Most founders start with an authorised capital of ₹1 lakh — note that state stamp duty on incorporation varies with authorised capital, which is part of the government fees charged at actuals.
Can I register the company at my home address?
Yes. A residential address can be the registered office as long as you can provide a recent utility bill and an NOC from the owner of the premises.
What happens if my preferred company name is rejected?
SPICe+ Part A allows two name choices per application and MCA allows one resubmission. Our partner professional pre-checks your names against existing companies and trademarks to reduce the chance of rejection; resubmission within the allowed window is covered by your fee.
What compliance starts immediately after incorporation?
The first auditor must be appointed within 30 days, the declaration of commencement of business (INC-20A) must be filed within 180 days, and annual ROC filings (AOC-4, MGT-7) follow each financial year. Your ClearTLC dashboard lists each of these with its due date.
