Terms of Service

Effective date: 1 August 2026

These Terms of Service ("Terms") govern your use of cleartlc.com, apps.cleartlc.com and the services offered through them (together, "ClearTLC" or the "Platform"). The Platform is owned and operated by YALI GLOBAL CORPORATION PRIVATE LIMITED ("the Company", "we", "us"). By creating an account or placing an order, you agree to these Terms.

1. What ClearTLC is — and is not

ClearTLC is a technology facilitation platform. We provide the ordering, document-management, payment and tracking infrastructure through which professional services are delivered. The professional work itself — preparation, certification and filing of forms, returns, applications, notices and agreements — is performed by independent licensed professionals (chartered accountants, company secretaries, trademark agents and advocates) engaged for your order. ClearTLC is not a law firm, a chartered accountancy firm or a company secretarial firm, and does not itself render professional services reserved for licensed practitioners.

2. Accounts

You must provide accurate information when creating an account (via Google sign-in or phone OTP) and keep it current. You are responsible for activity under your account. We may suspend accounts used for unlawful activity, impersonation, or abuse of the Platform or its staff.

3. Orders, fees and payment

  • Prices displayed are the professional fee only, exclusive of 18% GST and of government fees, stamp duty and statutory charges, which are payable at actuals and identified separately.
  • Government fee estimates shown before filing are estimates; actuals are reconciled at the time of filing. Any excess collected is refunded; any shortfall is collected before filing proceeds.
  • Payments are processed by Razorpay. An order is confirmed when the payment is captured. A GST tax invoice is issued for every captured payment.
  • Work on an order begins only after payment and after you provide the documents and information requested in your dashboard checklist.

4. Your responsibilities

  • Provide true, complete and legible documents and information. Filings are prepared from what you provide; you are responsible for its accuracy.
  • Respond to document requests and clarifications promptly. If requested documents remain pending for more than 7 days, the order may be placed on hold with automatic reminders; statutory deadlines that pass while an order is on hold for want of your documents are your responsibility (see clause 6).
  • Where a filing requires your authorisation (e.g. an engagement letter, a power of attorney such as Form TM-48, OTP approvals or digital-signature use), you will provide it before filing.

5. Timelines and government processing

Timelines shown on the Platform are working estimates for the preparation and filing stages within our control. Government processing times (MCA, GSTN, the Trade Marks Registry, income-tax department and others) are outside our control and can vary. Approval of any application is always at the discretion of the relevant authority; ClearTLC and its partner professionals do not and cannot guarantee approval outcomes. Where an application is rejected due to an error in preparation attributable to us, we will resubmit it once at no additional professional fee (government fees at actuals).

6. Limitation of liability

  • To the maximum extent permitted by law, the aggregate liability of the Company, its directors, employees and partner professionals arising out of or in connection with an order is capped at the professional fee actually paid by you for that order.
  • We are not liable for indirect or consequential losses, loss of profits, loss of opportunity, or penalties and late fees that result from delays in providing documents, information or authorisations that were requested from you, or from incorrect information you provided.
  • Government fees, taxes, statutory penalties and interest imposed by an authority are never recoverable from the Company, except where a penalty arises solely from our failure to file within the committed timeline after you had provided everything requested — in which case our liability remains subject to the cap above.

7. Refunds and cancellation

Refunds follow the stage-based matrix in our Refund Policy, which forms part of these Terms.

8. Documents and confidentiality

Documents you upload are stored privately, outside public reach, and are accessible only to you and the staff or professional working your order; every access is logged. Our handling of personal data is described in the Privacy Policy. Partner professionals are bound by confidentiality obligations and by the professional-conduct rules of their respective regulators.

9. Intellectual property

The Platform, its brand, content and software are owned by the Company. Documents drafted for you under an order (agreements, notices, reports) are yours once the order is paid and completed. You may not scrape, copy or resell Platform content.

10. Communications

You consent to receiving transactional communications about your orders (email, SMS and, where you opt in, WhatsApp). You can opt out of promotional communications at any time; transactional messages about active orders will continue.

11. Governing law and disputes

These Terms are governed by the laws of India. Courts having jurisdiction over the registered office of YALI GLOBAL CORPORATION PRIVATE LIMITED shall have exclusive jurisdiction, subject to any mandatory consumer-law forum available to you. We encourage you to raise any grievance first at support@cleartlc.com — most issues are resolved within a few working days.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified on the Platform; continued use after the effective date of a change constitutes acceptance. Orders already placed are governed by the Terms in force when the order was placed.
